Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of the Pharos practice-management platform and related services (the "Service"), operated by Pharos Legal LLC ("Pharos," "we," "us"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. The Service

Pharos provides software for law firms to manage client intake, generate documents, send documents for electronic signature, share files through a client portal, message clients, track deadlines, and manage team members. Pharos is software only.

3. Not a Law Firm; No Legal Advice

Pharos is a software provider. We are not a law firm, do not provide legal advice, and no attorney-client relationship is formed between you and Pharos. You are solely responsible for the legal sufficiency, accuracy, and use of any documents you create or send using the Service, and for compliance with the rules of professional conduct applicable to you.

4. Accounts & Eligibility

You must provide accurate registration information and are responsible for safeguarding your account credentials and all activity under your account. You must be at least 18 years old and authorized to bind your firm. Notify us promptly of any unauthorized use.

6. Subscriptions, Fees & Billing

Paid plans are billed in advance on a recurring monthly basis through our payment processor. Additional attorney seats beyond those included in your plan are billed at the then-current per-seat rate. By subscribing, you authorize us and our payment processor to charge your payment method for all applicable fees until you cancel. Fees are stated in U.S. dollars and exclusive of taxes, which are your responsibility where applicable.

7. Free Plan

We may offer a free plan with limited features and usage. We may modify or discontinue the free plan at any time.

8. Cancellation & Refunds

You may cancel your subscription at any time; cancellation stops future renewals. Except as stated in our Refund & Cancellation Policy or as required by law, fees already paid are non-refundable.

9. Your Data

You retain all rights to the data and documents you submit to the Service ("Customer Data"). You grant us a limited license to host, process, and transmit Customer Data solely to provide and improve the Service. Our handling of personal information is described in our Privacy Policy. You are responsible for maintaining your own backups of important documents.

10. Intellectual Property

The Service, including its software, design, and content (excluding Customer Data), is owned by Pharos and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription.

11. Third-Party Services

The Service relies on third-party providers (for example, payment processing and email delivery). Your use of those features may be subject to the providers' terms. We are not responsible for third-party services.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or secure.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PHAROS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify and hold Pharos harmless from claims arising out of your use of the Service, your Customer Data, or your violation of these Terms or applicable law.

15. Termination

We may suspend or terminate your access if you violate these Terms or to protect the Service. You may stop using the Service at any time. Upon termination, your right to use the Service ends; we may delete Customer Data after a reasonable period.

16. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted here with an updated date. Continued use after changes constitutes acceptance.

17. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Venue for any dispute lies in the state or federal courts located in Texas.
